Can I take a shell off a powered GP38-2 Proto 3 and put a Shell on it from a non-powered GP38-2 of a different Road name. Most of the oblivious stuff looks to be the same. Only difference I see is the powered unit had ditch lights. Asking this before I get in deep.

The one thing I would look at are the mounting post locations. If they're identical then chances are YES.
I had a RailKing 2-8-0 I wanted to change boiler shells on, got one but when I tried it wouldn't fit and had to make a couple of mods to get it right. Turned out fine but I would have thought they would have been the same.

Usually, the answer is yes. Depending on the shell, you may have to move some wiring, etc. Of course, checking the post locations is a key requirement. 
You can actually fabricate your own posts if they're different, but it starts to be a bit of work.
