What does it mean when you put a older Proto-Sound 1 Diesel on the track,power it up and just hear 2 bells or clangs ? is it a bad board or a bad chip,,,or is the chip scrambled and needs a reset.Anyone can help me on this matter ?

Does it have a new battery? If I remember correctly 2 dings is normal. Power the track up, keep it under 10 volts, let it sit 30 seconds, then interrupt track power and it should go into forward. If it just 2 dings again then the battery isn't charged. To leave program there much be less than 10 volts on the track. If there is more then 10 volts then it'll be in program mode and give you clinks and clanks. 3 dings is scrambled chip. 2 dings and no background noise is deselect, but that was only about half a dozen very early PS-1 locomotives. Knowing the catalog number of the locomotive would be helpful.
Correct, when you power up a PS/1 engine, two bells is standard. As stated, keep the voltage low or it goes into reset mode and you have to start over.
