Because, after 1980, until the ATSF/SP merger proposal came along, the ICC had not seen a merger it didn't like.  In fact, the same could be said for the ICC successor regulatory agency, the STB.  Up until STB Chairwoman Linda Morgan advised BNSF and CN to withdraw their merger proposal, the STB didn't know how to say "no" either.  (Of course, the word on the street at that time was that her old college roommate, who also happened to be a senior UP lawyer, told her that Omaha wasn't real happy with the thought of a BNSF/CN marriage and asked her to abort the wedding.)
